Welcome to Infiopia ("we", "us", or "our"). These Terms and Conditions govern your access and use of our suite of applications designed to support e-commerce operations. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

1. Acceptance of Terms

By accessing or using the services provided by Infiopia (“we”, “us”, or “our”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you must not use our Services.

We may update these Terms from time to time. Continued use of the Services after any changes constitutes your acceptance of the revised Terms.

2. Description of Services

Infiopia provides a suite of applications (“Services”) designed to support and enhance e-commerce operations.

The specific features and functionalities of each application are described within the respective application interfaces. We reserve the right to modify, update, or discontinue any part of the Services at any time.

3. Account and Access

To access certain features, you may be required to connect your Shopify account.

You are responsible for:

• Maintaining the security of your account
• All activities conducted through your account

You agree to notify us immediately of any unauthorized access or use.

4. Fees and Payment

Certain features and functionalities of the Services may require payment, including paid subscriptions and credit purchases. By purchasing or using any paid feature, subscription, or credits, you agree to the applicable fees and these Terms.

4.1 Subscription Plans

Certain Services may be offered through recurring subscription plans. Subscription plans may provide access to premium features, processing benefits, and a specified number of credits during each billing period.

Subscription fees are charged through Shopify’s billing system using the payment method associated with your Shopify account. The applicable price, billing interval, included features, and credit allowance will be displayed at the time of purchase.

Unless otherwise stated, subscriptions automatically renew at the end of each billing period until cancelled.

You may cancel your subscription at any time through the applicable Shopify subscription or billing settings. Cancellation will generally take effect at the end of the current billing period, and you may continue to access the paid features included in your subscription until the end of that billing period.

Cancelling a subscription does not automatically result in a refund for fees already charged, except where required by applicable law or otherwise expressly stated by us.

4.2 Refunds

Certain Services may use credits to access or perform AI-powered generation and processing features.

Credits may be included with paid subscription plans or purchased separately as one-time credit purchases or credit packs.

The number of credits required for a particular operation may vary depending on the feature, processing type, or other factors. The applicable credit cost will be displayed within the Service before or during use where reasonably practicable.

Purchased credits are non-transferable and may only be used through the applicable Services and account associated with the purchase.

4.3 Credit Expiration and Rollover

Credits included with paid subscription plans and credits purchased separately do not expire, unless otherwise clearly stated at the time of purchase.

Unused monthly subscription credits may roll over to subsequent billing periods and remain available for use during an active subscription.

Purchased credit packs remain available after purchase and do not expire, and will remain valid even after a subscription ends, subject to any limitations or restrictions clearly disclosed at the time of purchase.

Credits have no cash value, cannot be redeemed for cash, and cannot be transferred, resold, or exchanged except where required by applicable law.

4.4 Subscription Cancellation and Credits

If you cancel a paid subscription, any unused monthly subscription credits that have already been allocated to your account will remain available and may continue to be used until the end of the current billing period. After the end of the billing period, any remaining monthly subscription credits will no longer be available for use.

However, cancellation of a subscription may result in the loss of access to subscription-only features or other benefits after the current billing period ends.

Purchased one-time credit packs or separately purchased credits will remain available in your account and will not be affected by the termination or expiration of a subscription.

4.5 Payment Authorization

By purchasing a subscription or credits, you authorize the applicable billing provider to charge the fees displayed at the time of purchase.

You are responsible for providing accurate and current billing information and maintaining a valid payment method.

If a payment fails, is reversed, or cannot otherwise be collected, we may suspend or restrict access to paid features until the outstanding amount has been successfully processed.

4.6 Refunds

Unless otherwise specified or required by applicable law, subscription fees and credit purchases are non-refundable.

We may, at our sole discretion, provide refunds, credits, or other remedies in exceptional circumstances, including technical issues that prevent the purchased Service from being used as reasonably intended.

Any refund provided does not create an obligation to provide similar refunds in the future.

Where a refund is issued for a purchase associated with credits, we may deduct or invalidate unused credits associated with the refunded transaction to the extent permitted by applicable law.

4.7 Pricing Changes

We may change subscription prices, credit prices, credit requirements, or the features included in paid plans from time to time.

Any price change to a recurring subscription will generally apply to future billing periods and will not retroactively change fees already charged.

Where required by applicable law, we will provide reasonable notice of material pricing changes before they take effect.

4.8 Taxes

You are responsible for any taxes, duties, or similar charges applicable to your purchase or use of the Services, except for taxes that we are legally required to collect and remit.

Any applicable taxes may be calculated and collected through Shopify or the applicable payment provider.

4.9 Promotional Offers and Trials

From time to time, we may offer promotional pricing, discounts, free trials, bonus credits, or other promotional benefits.

Promotional offers may be subject to additional terms and may be limited to eligible users, accounts, or periods.

Unless otherwise stated, promotional benefits have no cash value and cannot be transferred, sold, or combined with other offers.

We reserve the right to modify or discontinue promotional offers at any time, subject to applicable law.

5. Acceptable Use

You agree to use the Services only in compliance with applicable laws and these Terms.

You must not:

• Use the Services for unlawful, fraudulent, or abusive purposes
• Interfere with or disrupt the operation of the Services
• Attempt to gain unauthorized access to any system or data
• Reverse engineer, decompile, or attempt to extract source code
• Use the Services to infringe upon the rights of others

6. Intellectual Property

All rights, title, and interest in and to the Services, including all intellectual property rights, are owned by or licensed to Infiopia.

You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Services in accordance with these Terms.

7. Third-Party Services

The Services may include integrations with or links to third-party services.

We are not responsible for:

• The content, policies, or practices of third-party services
• Any loss or damage arising from your use of such services

Your use of third-party services is subject to their respective terms.

8. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms.

You may stop using the Services at any time.

Upon termination, your right to use the Services will immediately cease.

9. Disclaimers

The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.

We do not guarantee that:

• The Services will be uninterrupted, secure, or error-free
• The results obtained from the Services will be accurate or reliable

10. Limitation of Liability

To the maximum extent permitted by law, Infiopia shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.

Our total liability for any claim shall not exceed the amount you have paid for the Services in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Infiopia and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any applicable law or third-party rights

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Hong Kong.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

13. Miscellaneous

These Terms constitute the entire agreement between you and Infiopia regarding the use of the Services.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Our failure to enforce any right or provision shall not be considered a waiver of those rights.
